PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE APP. BY USING PANIC SELL, YOU AGREE TO BE BOUND BY THESE TERMS.

1. ACCEPTANCE OF TERMS

These Terms of Service ("Terms") govern your use of the Panic Sell mobile application ("App"), developed and operated by an independent developer ("we", "us", "our"). By downloading, installing, or using the App, you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, do not use the App.

2. DESCRIPTION OF SERVICE

Panic Sell is a non-custodial mobile application that enables users to sell Solana-based tokens from their wallets in a single transaction. The App provides the following features:

Multi-wallet token liquidation ("Panic Sell")
Real-time portfolio value tracking
Multi-Wallet Stop Loss alerts
Premium subscription features

The App is a tool only. It does not constitute financial advice, investment advice, or trading recommendations of any kind.

3. ELIGIBILITY

You must be at least 18 years of age to use this App. By using the App, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. The App is not available to users in jurisdictions where cryptocurrency trading is prohibited by law.

4. NON-CUSTODIAL NATURE

Panic Sell is a non-custodial application. This means:

We never hold, store, control, or have access to your private keys, seed phrases, or wallet credentials.
All transactions are signed exclusively by your wallet application via the Mobile Wallet Adapter protocol.
You are solely responsible for the security of your wallet and private keys.
We cannot reverse, cancel, or modify any transaction once it has been broadcast to the Solana blockchain.

5. FINANCIAL RISK DISCLOSURE

CRYPTO TRADING INVOLVES SIGNIFICANT FINANCIAL RISK. YOU MAY LOSE SOME OR ALL OF YOUR FUNDS.

By using the App, you acknowledge and accept that:

5.1 Market Risk

Cryptocurrency prices are highly volatile. The value of your tokens may decrease significantly or go to zero.

5.2 Transaction Risk

All blockchain transactions are irreversible. Mistaken or unintended transactions cannot be reversed or refunded.

5.3 Scam Token Risk

The Solana ecosystem contains fraudulent tokens ("scam tokens") that may be designed to steal funds when interacted with. You are solely responsible for verifying the legitimacy of any token before selling. Panic Sell cannot and does not verify the legitimacy of tokens. DO NOT sell any token you did not purchase yourself or that you cannot verify through trusted sources.

5.4 Smart Contract Risk

Token swaps are executed through third-party decentralized exchange protocols (Jupiter). We are not responsible for errors, bugs, or vulnerabilities in these protocols.

5.5 Slippage Risk

Swap prices are subject to slippage. The actual amount received may differ from the quoted amount.

6. STOP LOSS FEATURE

The Stop Loss feature monitors your portfolio value and sends local push notifications when your portfolio drops below a defined threshold.

You acknowledge that:

The Stop Loss feature is an alert system only. It does not automatically execute any transactions.
Alert delivery depends on your device being powered on and the App having notification permissions.
Portfolio valuations displayed in the App are estimates based on third-party price data and may not reflect real-time market prices.
We are not liable for missed alerts or for any financial losses resulting from the Stop Loss feature operating as intended or failing to operate.

7. PREMIUM SUBSCRIPTION

7.1 Premium Plan

The Premium plan is a one-time lifetime purchase of $20 USD (or equivalent in SKR tokens). There are no recurring fees or subscriptions.

7.2 Premium Benefits

Premium removes the 0.5% transaction fee on Panic Sells and enables Multi-Wallet Stop Loss notifications.

7.3 Non-Refundable

All Premium purchases are final and non-refundable. Blockchain transactions cannot be reversed.

7.4 Device Binding

Premium status is stored locally on your device. It is your responsibility to maintain access to your device. We cannot restore Premium status if you lose access to your device or uninstall the App without backing up your data.

7.5 SKR Discount

Purchasing Premium with SKR (Seeker Token) provides a 30% discount ($14 equivalent). The SKR price is calculated at the time of purchase based on available market data.

8. FEES

8.1 Free Tier

A 0.5% fee is applied to all Panic Sell transactions for free tier users. This fee is deducted from the USDC proceeds of each swap.

8.2 Premium Tier

No fees are charged on Panic Sell transactions for Premium users.

8.3 Network Fees

All transactions on the Solana blockchain are subject to network transaction fees ("gas fees") paid in SOL. These fees are separate from any App fees and are not collected by us.

8.4 Third-Party Fees

Jupiter and other DEX protocols may charge their own fees. These are independent of our fees and are disclosed in swap quotes.

9. THIRD-PARTY SERVICES

The App relies on third-party services including Helius, Jupiter, and the Solana blockchain. We are not responsible for:

Downtime, errors, or changes to these services
Inaccurate price data provided by these services
Failed transactions due to network congestion or RPC errors
Changes in API terms or availability

10. INTELLECTUAL PROPERTY

The App, including its design, code, and branding, is the intellectual property of the developer. You may not copy, modify, distribute, or reverse engineer any part of the App without our express written permission.

11. PROHIBITED USES

You agree not to use the App for:

Any illegal activity, including money laundering or tax evasion
Market manipulation or wash trading
Any activity that violates the laws of your jurisdiction
Circumventing or attempting to circumvent App security measures
Using the App in any way that could damage, disable, or impair the App or the Solana network

12. DISCLAIMER OF WARRANTIES

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

THE APP WILL BE UNINTERRUPTED OR ERROR-FREE
SWAP QUOTES WILL BE ACCURATE OR AVAILABLE AT ALL TIMES
STOP LOSS ALERTS WILL BE DELIVERED IN ALL CIRCUMSTANCES
THE APP WILL BE FREE FROM SECURITY VULNERABILITIES

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Loss of funds due to market movements
Loss of funds due to scam token interactions
Loss of funds due to transaction errors
Missed Stop Loss alerts
Loss of Premium status due to device loss or App uninstallation
Any losses arising from third-party service failures

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PREMIUM SUBSCRIPTION ($20 USD).

14. INDEMNIFICATION

You agree to indemnify and hold harmless the developer and its affiliates from any claims, losses, damages, or expenses (including legal fees) arising from your use of the App, your violation of these Terms, or your violation of any third-party rights.

15. GOVERNING LAW

These Terms are governed by the laws of France, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of France.

16. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. We will notify users of material changes by updating the "Last updated" date. Continued use of the App after changes constitutes acceptance of the updated Terms.

17. SEVERABILITY

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
